1. Acceptance of Terms

By accessing or using Genify Studio and any related websites, apps, or services (the “Services”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and additional policies linked below. If you do not agree, do not use the Services.

2. Eligibility

You must be 13 years of age or older to use the Services. If you are under 18, you must have a parent or guardian's consent. By using the Services, you represent that you meet this requirement and have the authority to enter into these Terms (or have obtained necessary consent if under 18).

3. Account Responsibility

You are responsible for all activity that occurs under your account. Keep credentials confidential and notify us promptly of any suspected unauthorized access. We are not liable for losses arising from unauthorized use.

4. Acceptable Use

You agree not to use the Services to:

  • Create or share content that is illegal; infringes IP rights; or is hateful, harassing, defamatory, exploitative, or excessively violent.
  • Impersonate others or misrepresent your affiliation; generate deceptive content intended to mislead (including undisclosed deepfakes).
  • Upload malware or attempt to probe, scan, or test the vulnerability of systems; circumvent access controls or rate limits.
  • Use automated scraping or reverse engineering except to the extent permitted by law and our robots/technical measures.
  • Conduct political persuasion or targeted manipulation where prohibited; engage in spam or platform interference.
  • Violate any applicable law or these Terms.

5. Ownership & License to Your Content

As between you and Genify, you retain all rights to prompts, uploads, and outputs you create with the Services (“Your Content”). To operate the Services, you grant Genify a limited, worldwide, non-exclusive, royalty-free license solely to operate and provide the Services—including hosting, processing, transmitting, caching, displaying to you and your intended recipients, moderating for abuse, and creating backup copies. We do not use Your Content for advertising or promotional purposes without your explicit opt-in consent, which you may revoke at any time. Posting content publicly (e.g., to Community) is treated as an opt-in to public display; you can remove it at any time subject to caching and archival limits.

You represent and warrant that you have all necessary rights to Your Content and that its use on the Services does not violate law or third-party rights. You are responsible for securing permissions for third-party material.

6. Model Providers & Third-Party Services

Some features rely on third-party model providers, hosting, storage, analytics, payment processors, and other vendors. Your use of those features may be subject to their terms. We minimize scopes for OAuth sign-in (e.g., Google) and do not request access to your emails, contacts, or files. You can revoke provider access at any time via your provider’s settings. 7. Voice, Likeness & Sensitive Generations

If you upload or generate a voice or likeness, you must be the speaker/subject or have their explicit permission. You agree not to use these features to impersonate, deceive, or otherwise violate rights or law. We may apply automated and manual checks, require attestations, and restrict access. 8. Community, IP Policy & Takedowns

Content posted to Community may be publicly visible. You must have rights to everything you post. We respond to copyright and trademark complaints and may remove content or disable accounts that repeatedly infringe. To submit a notice or counter-notice, see our IP / Notice & Takedown page.

9. Payments & Refunds

We offer free features and paid one-time passes that unlock premium usage for a stated duration. Payments are processed by third-party providers (e.g., Stripe). Passes do not auto-renew. Access begins after successful payment confirmation; if a webhook or network delay occurs, access will be provisioned as soon as we receive confirmation. Taxes/VAT may apply and will be shown where available.

We don't generally offer refunds for one-time passes. However, where required by law (for example, cooling-off periods) or if something breaks on our side, we'll work with you to make it right. See our Refunds & Cancellations policy for full details.

9a. Subscriptions vs One-Time Passes

At present, Genify Studio offers fixed-duration passes (no automatic renewal). If we introduce auto-renewing subscriptions in future, we'll update this section and notify you of the change.

10. Service Availability & Changes

We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features to maintain security, comply with law, or improve the Services.

11. Disclaimers

The Services and all content are provided “as is” and “as available.” We do not warrant that outputs will be accurate, reliable, or fit for a particular purpose, or that the Services will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Genify Studio and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of the Services. Our aggregate liability for all claims relating to the Services shall not exceed the greater of (a) the amounts paid by you to Genify in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Genify Studio and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

14. Suspension & Termination

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms, pose a risk to the platform or others, or where required by law. Upon termination, your right to use the Services ceases. We may retain minimal records as required for legal, security, and audit purposes.

15. Governing Law & Venue

These Terms are governed by the laws of England & Wales. You and Genify Studio agree that the courts of Courts of England & Wales will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Service.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Services or by email. Changes become effective when posted unless otherwise stated. Your continued use of the Services constitutes acceptance.
